1. Agreement to Terms
Welcome to CCBONLINE Inc. These Terms of Service ("Terms") govern your access to and use of our website, services, and products. By accessing or using ccbonline.ca or engaging our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not access or use our services. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of the updated Terms.
2. Use License
CCBONLINE grants you a limited, non-exclusive, non-transferable, revocable license to access and use our website and services for your business purposes, subject to these Terms. Unless otherwise specified in a separate written agreement, all intellectual property rights in our services remain with CCBONLINE.
This license shall automatically terminate if you violate any of these restrictions:
- Use our services for any illegal, unauthorized, or prohibited purpose
- Attempt to reverse engineer, decompile, or disassemble any part of our services
- Remove or modify any copyright, trademark, or proprietary notices from our materials
- Transfer, sublicense, or resell our services without written permission

4. Acceptable Use Policy
You agree to use our services only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of our services complies with all applicable laws and regulations, including but not limited to Canada's Anti-Spam Legislation (CASL), PIPEDA, Quebec's Law 25 (fully effective since 2024), and the Consumer Privacy Protection Act (CPPA, enacted 2025).

- Send unsolicited commercial electronic messages (spam) in violation of CASL
- Misuse or abuse any AI-powered features or chatbot services we provide
- Attempt to manipulate, deceive, or circumvent any security measures of our AI systems

- AI responses are generated by machine learning models and may not always be accurate

5. Intellectual Property Rights
All content, features, and functionality of our services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof (collectively, the "Content"), are the exclusive property of CCBONLINE Inc. or its licensors and are protected by Canadian and international copyright, trademark, patent, trade secret, and other intellectual property laws.
The CCBONLINE name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CCBONLINE Inc. You may not use these marks without our prior written permission. All other names, logos, product and service names, designs, and slogans are the trademarks of their respective owners.
6. User-Generated Content
When you provide content, materials, or information to us (including for website development projects), you represent and warrant that you own or have the necessary rights to use and authorize us to use such content. You retain ownership of your content, but grant us certain rights to use it.
By providing content to us, you grant CCBONLINE:
- A non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display your content solely for the purpose of providing our services to you
- The right to create derivative works based on your content as necessary to deliver the agreed-upon services
- The right to showcase completed projects in our portfolio, subject to your approval and any confidentiality agreements
7. Disclaimer of Warranties
Our services are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, CCBONLINE disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
IMPORTANT: We do not warrant that our services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. While we strive to deliver high-quality services, we cannot guarantee specific results or outcomes from the use of our services.
8. Limitation of Liability
To the maximum extent permitted by Canadian law, CCBONLINE Inc., its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use our services; (ii) any conduct or content of any third party on our services; (iii) any content obtained from our services; or (iv) unauthorized access, use, or alteration of your transmissions or content.
Cap on Liability
Our total liability for any claims arising from or related to these Terms or our services shall not exceed the greater of: (a) the amount you paid us for the services in the twelve (12) months preceding the claim; or (b) CAD $500 (five hundred Canadian dollars).
Exceptions to Limitation
The limitations set forth in this section shall not apply to liability for:
- Death or personal injury caused by our gross negligence or willful misconduct
- Fraud or fraudulent misrepresentation
- Violations of applicable consumer protection laws that cannot be limited by contract
- Any other liability that cannot be limited or excluded under applicable Canadian law
Note: Some jurisdictions do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply, and you may have additional rights.
9. Indemnification
You agree to indemnify, defend, and hold harmless CCBONLINE Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (i) your violation of these Terms; (ii) your use of our services; (iii) your violation of any rights of another party; or (iv) content you provide to us.
9A. Third-Party Platforms and Services
Our website and services integrate with or utilize various third-party platforms and services to enhance functionality and user experience. These third-party services are governed by their own terms of service and privacy policies, which are separate from and independent of these Terms.
Third-Party Development and Deployment Platforms
For Website Development Services: When you engage CCBONLINE for website development, design, or deployment services, we utilize various third-party platforms, tools, and services. You acknowledge and agree that:
- Development Platform Usage: We use third-party development platforms, code repositories, design tools, content management systems, and project management software to create your website. Your project files, code, content, and assets will be stored on these platforms during development.
- Hosting and Deployment: Your website will be deployed on third-party hosting platforms (such as GitHub Pages, Netlify, Vercel, AWS, Google Cloud, or similar services). You agree to be bound by the hosting platform's terms of service, acceptable use policies, and content guidelines.
- Domain Registration: If we assist with domain registration, you agree that domains are registered through third-party registrars. You are solely responsible for domain renewals, DNS management, and compliance with registrar terms. Failure to renew your domain may result in loss of domain ownership.
- Third-Party Libraries and APIs: Your website may incorporate third-party libraries, frameworks, APIs, fonts, icons, scripts, or other resources (from sources such as Google Fonts, Font Awesome, jsDelivr, Cloudflare, etc.). These third parties have their own terms of service and usage restrictions.
- AI-Assisted Development Tools: We may use AI-assisted coding tools, content generation platforms, or automated development services to accelerate development. Code or content generated by these tools is subject to the tools' terms of service and licensing restrictions.
- Version Control and Code Storage: Your website code and project files may be stored in version control systems (GitHub, GitLab, Bitbucket, etc.) for project management, collaboration, and backup purposes. These platforms may be accessible to CCBONLINE team members and, if requested, to you.
Account Ownership and Management Responsibilities
You acknowledge and agree to the following regarding third-party platform accounts:
- Client-Owned Accounts: For hosting, domain, and deployment platforms registered in your name or business name, you own the account and are solely responsible for account management, subscription payments, security, compliance with platform terms, and all activities conducted through the account.
- CCBONLINE-Owned Accounts: For development tools, version control systems, or project management platforms used during development, CCBONLINE may use our own accounts. You have no ownership rights to these accounts, but may request copies of project files or code repositories.
- Temporary Access: If you grant CCBONLINE temporary administrative access to your client-owned accounts for setup, configuration, or maintenance purposes, you do so at your own risk. We recommend revoking access after services are completed.
- Subscription and Billing: You are solely responsible for all subscription fees, hosting costs, domain renewal fees, and other charges associated with third-party platforms used for your website. CCBONLINE is not responsible for platform billing issues, payment failures, or account suspension due to non-payment.
⚠️ Mandatory Platform Compliance
By engaging CCBONLINE for website development services, you represent, warrant, and agree that:
- Your website content, materials, and intended use comply with all third-party platform terms of service, acceptable use policies, and content guidelines
- You will not use the website for any illegal, fraudulent, defamatory, or prohibited purposes as defined by platform policies
- You are responsible for ensuring website content does not infringe intellectual property rights, violate privacy laws, or contain prohibited content (hate speech, adult content, illegal goods, etc.)
- You understand that third-party platforms may suspend, terminate, or remove your website without notice if their terms are violated
- CCBONLINE is not responsible for platform policy enforcement, content review, or moderation of your website
- You will comply with applicable laws and regulations regarding website operation, data collection, privacy policies, cookie consent, accessibility, and consumer protection
Violation of third-party platform terms may result in website suspension or termination, for which CCBONLINE bears no liability.
🚨 DISCLAIMER FOR DEVELOPMENT AND DEPLOYMENT PLATFORMS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CCBONLINE SHALL NOT BE LIABLE FOR:
- Platform Failures: Website downtime, service interruptions, platform outages, or performance issues caused by third-party hosting or deployment platforms
- Data Loss: Loss, corruption, or deletion of website files, code, content, databases, or backups due to platform failures or account issues
- Account Issues: Account suspension, termination, restriction, or policy violation enforcement by third-party platforms
- Security Breaches: Unauthorized access, hacking, data breaches, or security incidents at third-party platforms
- Platform Changes: Changes to platform terms, pricing, features, APIs, or discontinuation of services that affect your website
- Domain Issues: Domain expiration, renewal failures, DNS problems, registrar disputes, or domain hijacking
- Compliance Violations: Your website's failure to comply with platform policies, legal requirements, or regulatory standards
- Third-Party Charges: Unexpected fees, price increases, overage charges, or billing disputes with platform providers
- Migration Challenges: Difficulties, costs, or data loss associated with migrating your website from one platform to another
- License Restrictions: Licensing conflicts, usage restrictions, or attribution requirements imposed by third-party libraries, tools, or resources used in website development
FOR ALL ISSUES RELATED TO THIRD-PARTY DEVELOPMENT OR DEPLOYMENT PLATFORMS, YOU MUST CONTACT THE RESPECTIVE PLATFORM PROVIDER DIRECTLY. CCBONLINE CANNOT AND WILL NOT MEDIATE DISPUTES WITH THIRD-PARTY PLATFORMS.
Third-Party Platform Payment Obligations
You expressly acknowledge, understand, and agree to the following regarding third-party platform costs and financial obligations:
Client Financial Responsibilities
You are solely and exclusively responsible for all fees, costs, charges, subscriptions, and financial obligations associated with third-party platforms used for your website, services, or accounts, including but not limited to:
- Hosting Fees: All hosting platform subscription fees (monthly, annual, or usage-based), bandwidth charges, storage costs, compute resources, and infrastructure fees
- Domain Costs: Domain registration fees, annual renewal fees, transfer fees, privacy protection fees (WHOIS privacy), and premium domain costs
- SSL/TLS Certificates: Certificate purchase, renewal, or upgrade costs (if not included in hosting)
- CDN and Performance: Content delivery network fees, bandwidth charges, caching costs, and performance optimization services
- AI Platform Fees: AI chatbot or voice assistant platform subscription fees, API usage charges, token/credit costs, conversation limits, and overage fees
- Email Services: Email marketing platform fees, transactional email costs, email deliverability services, and sending limits
- Database and Storage: Database hosting fees, storage costs, backup services, disaster recovery fees, and data transfer charges
- Analytics and Monitoring: Analytics platform fees, monitoring service costs, uptime checking services, and reporting tools
- Third-Party APIs: API usage fees, rate limit upgrades, premium features, and service tier costs
- Security Services: Security scanning tools, malware detection, DDoS protection, web application firewalls (WAF), and vulnerability assessments
- Overage and Usage-Based Charges: All charges exceeding included limits for bandwidth, storage, API calls, visitor traffic, email sends, database queries, or other usage metrics
- Upgrade and Scaling Costs: Costs associated with upgrading service tiers, increasing resource allocations, or scaling infrastructure
CCBONLINE Platform Costs
CCBONLINE is responsible for costs associated with development tools, software licenses, and platforms used on CCBONLINE-owned accounts exclusively for internal development purposes (such as version control, project management, design tools, development environments). These costs are factored into CCBONLINE's service fees and are not separately billed to clients unless explicitly stated in a service agreement.
Cost Estimates and Disclaimers
- Estimates Only: Any cost estimates, pricing projections, or budget recommendations provided by CCBONLINE for third-party platforms are estimates only, provided as a courtesy, and are not guarantees, warranties, or binding quotes.
- Price Verification: You are solely responsible for verifying current platform pricing, reading platform pricing pages, understanding billing models, and accepting platform costs before account creation or service activation.
- Price Changes: Third-party platforms may change pricing, introduce new fees, eliminate free tiers, modify billing structures, or increase costs at any time without notice to CCBONLINE. CCBONLINE has no control over and no responsibility for platform pricing decisions.
- Usage Variability: Actual costs may significantly exceed estimates based on factors including but not limited to: visitor traffic volume, bandwidth consumption, storage usage, API call frequency, feature activation, service tier selection, geographic data transfer, and usage patterns.
- Hidden Fees: Third-party platforms may charge additional fees not initially disclosed, including but not limited to: setup fees, activation fees, custom configuration fees, support fees, early termination fees, data export fees, or premium support charges.
Payment Management Obligations
- Valid Payment Methods: You must maintain current, valid payment methods (credit cards, debit cards, bank accounts, payment processors) for all client-owned platform accounts.
- Payment Monitoring: You are responsible for monitoring payment notifications, billing statements, invoice emails, and account alerts from platform providers.
- Expiration Management: You must update expired payment methods, renew subscriptions before expiration, and prevent payment failures that could result in service suspension.
- Auto-Renewal Management: You acknowledge that most platforms use auto-renewal billing. You must actively cancel subscriptions if you wish to stop recurring charges. Failure to cancel is not CCBONLINE's responsibility.
- Billing Disputes: All billing disputes, refund requests, charge disputes, or payment issues with third-party platforms must be resolved directly with the platform provider. CCBONLINE cannot and will not mediate billing disputes.
- Usage Monitoring: You are responsible for monitoring platform usage metrics (bandwidth, storage, API calls, etc.), setting usage alerts, and managing usage to avoid unexpected overage charges.
- Budget Management: You are solely responsible for setting budgets, implementing cost controls, and managing financial exposure related to third-party platform usage.
Free Tier and Trial Period Acknowledgments
- Free Tier Limitations: Free tiers or trial periods have limitations including bandwidth caps, storage limits, feature restrictions, usage quotas, visitor limits, or time restrictions. You are responsible for understanding these limitations.
- Paid Upgrade Requirement: As your website grows or requirements increase, you may need to upgrade to paid tiers. You are responsible for monitoring usage against free tier limits and upgrading before limits are exceeded.
- Service Degradation: Exceeding free tier limits may result in service degradation, website slowdowns, functionality restrictions, or service suspension. CCBONLINE is not responsible for issues caused by exceeding free tier limits.
- Trial Expiration: Trial periods expire automatically, and services may be suspended or require payment to continue. You are responsible for managing trial expirations and making payment decisions.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CCBONLINE EXPRESSLY DISCLAIMS ALL LIABILITY AND RESPONSIBILITY FOR:
- Unexpected Costs: Any and all unexpected charges, cost overruns, budget exceedances, overage fees, surprise bills, or unanticipated expenses from third-party platforms
- Price Increases: Platform price increases, fee additions, plan changes, or elimination of free tiers
- Billing Errors: Incorrect charges, duplicate billing, billing errors, or accounting mistakes by platform providers
- Payment Failures: Service suspension, data loss, or website downtime due to payment method failures, expired cards, insufficient funds, or billing problems
- Refund Denials: Platform providers' refusal to issue refunds, disputes over refund eligibility, or refund processing delays
- Currency and Tax: Currency conversion fees, exchange rate fluctuations, sales tax, VAT, GST, or other tax implications
- Usage Spikes: Unexpected usage spikes causing overage charges due to traffic surges, DDoS attacks, bot activity, or viral content
- Subscription Overlap: Charges from multiple overlapping subscriptions, duplicate services, or forgotten subscriptions
- Early Termination Fees: Penalties, early termination fees, or contract cancellation charges imposed by platforms
- Cost Estimation Accuracy: Any inaccuracies, errors, or material differences between CCBONLINE's cost estimates and actual platform costs
YOU ASSUME ALL FINANCIAL RISKS ASSOCIATED WITH THIRD-PARTY PLATFORM USAGE. CCBONLINE SHALL NOT BE LIABLE FOR ANY FINANCIAL LOSSES, UNEXPECTED COSTS, OR BILLING DISPUTES OF ANY KIND.
Code and Asset Ownership
Upon full payment for website development services and subject to the terms of any separate written agreement:
- Custom Code: You own the custom code and content specifically created for your website project, subject to any open-source licenses or third-party library licenses incorporated in the project.
- Third-Party Components: Third-party libraries, frameworks, fonts, icons, scripts, and tools remain the property of their respective owners and are subject to their licenses (MIT, GPL, Apache, proprietary, etc.). You must comply with all third-party license requirements.
- Development Tools and Templates: CCBONLINE retains ownership of development templates, frameworks, methodologies, and proprietary tools used during development. These may be reused for other client projects.
- Code Delivery: Upon request and subject to our standard delivery procedures, we will provide you with source code, project files, and documentation. Code is provided "as-is" and may require technical knowledge to modify or maintain.
Third-Party Services We Use
Our website integrates with the following third-party services. Each operates independently under its own terms of service and policies:

- Additional Third-Party Services: We may integrate other third-party APIs, services, plugins, widgets, libraries, or tools from time to time. All such services have their own independent terms of service and policies. This list may be updated periodically without notice.

CCBONLINE is not responsible for third-party service providers' failure to comply with applicable laws, regulations, or legal obligations, even where such compliance is legally mandated, including but not limited to:
- Privacy laws (PIPEDA, CPPA, AIDA, Quebec Law 25, CASL)
- Consumer protection laws
- Accessibility standards (AODA, etc.)
- Contractual obligations to users or customers
- Industry-specific regulations or standards
- Data protection and cybersecurity requirements
- Service level agreements (SLAs) or uptime guarantees
THIS LIMITATION APPLIES EVEN IF:
- CCBONLINE has been advised of the possibility of such damages
- The damages were foreseeable, anticipated, or reasonably expected
- We have a contractual, business, or commercial relationship with the third-party provider
- We receive compensation, commissions, or other benefits from third-party providers
- We recommended, integrated, or facilitated your use of the third-party service
- Canadian law requires us to notify you or authorities of third-party incidents
- Third-party failures violate your legal rights or statutory protections
- The third party is acting under our direction or on our behalf
- We were negligent in selecting or vetting third-party service providers

All third-party service providers are independent contractors operating their own businesses. CCBONLINE:
- Does not employ, supervise, direct, or control third-party service providers
- Does not oversee their operations, security practices, or legal compliance
- Is not responsible for their acts, omissions, negligence, or willful misconduct
- Does not guarantee their performance, reliability, or continued availability
- Cannot be held vicariously liable for their actions or legal violations
YOUR ACKNOWLEDGMENT AND ASSUMPTION OF RISK

- Cannot and will not intervene in disputes between you and third-party providers
- Does not act as a mediator, arbitrator, or representative in such disputes

- Cannot guarantee any resolution, remedy, or compensation from third parties
- Is not responsible for third parties' customer service, support, or complaint handling

9B. Third-Party AI Platform Account Authorization and Management
When you engage CCBONLINE for AI integration services (including AI chatbot or voice assistant setup), you may authorize us to access third-party AI platform accounts for technical implementation purposes. This section governs such authorization and related responsibilities.
Account Registration and Ownership
If you do not have an existing third-party AI platform account:
- Registration Assistance: We may assist you with the account registration process, including helping you navigate the platform's signup procedures and technical requirements.
- Your Responsibility: You are solely responsible for providing accurate, complete, and truthful information during account registration. You represent and warrant that all registration information you provide is accurate and current.
- Account Ownership: You own and retain full ownership of any third-party AI platform account registered in your name or on behalf of your business. CCBONLINE does not own, control, or have any proprietary rights to your account.
- Platform Terms Acceptance: You acknowledge that by registering for a third-party AI platform, you are entering into a direct contractual relationship with that platform provider and are bound by their terms of service, privacy policy, and all applicable policies.
Temporary Access Authorization
To perform integration and technical setup services, you may grant us temporary access to your third-party AI platform account. You acknowledge and agree that:
- Scope of Access: Access is limited to technical configuration, API integration, initial setup, and troubleshooting purposes only.
- Authorization Method: Access should be granted through the platform's official authorization mechanisms (OAuth, API keys, role-based access control, etc.) rather than sharing passwords directly. If password sharing is necessary, you do so at your own risk.
- Access Duration: Access authorization is temporary and limited to the duration necessary to complete the agreed-upon integration services. We recommend revoking access immediately after setup completion.
- Voluntary Authorization: Granting access is entirely voluntary and at your discretion. You may refuse to grant access at any time, though this may limit our ability to provide certain services.
Data Access and Configuration
During the integration process with authorized access to your account:
- What We Access: We may access account configuration settings, API connections, integration parameters, technical settings, and platform features necessary for setup purposes.
- Business Content: We will not access, view, modify, or delete your business information, customer data, conversation logs, or other proprietary content stored in the platform unless you explicitly authorize such access for specific technical troubleshooting purposes.
- Self-Configuration Model: Per our service model, you are responsible for configuring your business information, AI knowledge base, conversation flows, and other content within the platform. Our role is limited to technical integration and providing setup guidance.
- No Data Collection by CCBONLINE: We do not collect, store, or retain copies of your business information or customer data from the third-party AI platform for our own purposes (except as necessary for temporary troubleshooting and immediately deleted thereafter).
Account Management Responsibilities
You acknowledge and agree that you are solely responsible for:
- Account Security: Maintaining the confidentiality and security of your account credentials, API keys, and access tokens
- Subscription Management: Managing subscriptions, billing, payments, plan upgrades/downgrades, and renewals with the third-party platform
- Content Management: Creating, uploading, updating, and maintaining all business information, AI responses, knowledge base content, and conversation flows
- User Access Control: Managing user roles, permissions, and access levels within your account
- Compliance: Ensuring your use of the platform complies with applicable privacy laws (PIPEDA, CPPA, Law 25), the platform's terms of service, and all other legal obligations
- Monitoring and Moderation: Monitoring AI interactions, conversation logs, and ensuring appropriate use of AI features
- Data Protection: Implementing appropriate security measures for customer data processed through the platform
Access Revocation
You may revoke CCBONLINE's access to your third-party AI platform account at any time by:
- Using the platform's access management features to revoke API keys, OAuth tokens, or role-based permissions
- Changing your account password if it was shared with us
- Notifying us via email at info@ccbonline.ca to request immediate cessation of access
Recommended Practice: We strongly recommend revoking our access immediately after the initial integration and setup are completed, unless you have a separate ongoing support agreement that requires continued access.
Scope Limitation of CCBONLINE Services
Unless explicitly agreed in a separate written service agreement, CCBONLINE's services are limited to:
- ✅ Technical platform integration (connecting AI platform to your website/phone system)
- ✅ Initial account setup and configuration assistance
- ✅ Training you on how to use the platform and manage your account
- ✅ Technical support for integration-related issues
- ❌ Ongoing account management or administrative services
- ❌ Content creation, AI training, or knowledge base management
- ❌ Customer data handling or conversation moderation
- ❌ Subscription billing or payment management
- ❌ Compliance monitoring or legal advisory services
⚠️ RISKS AND ACKNOWLEDGMENTS
You acknowledge and accept the following risks associated with third-party AI platform account authorization:
- Platform-Collected Data: The third-party AI platform will collect, process, and store your business information, customer interactions, and all data you input or that is generated through platform use, subject to their privacy policy
- Security Risks: Account credentials may be compromised through phishing, hacking, social engineering, or security breaches at the platform provider
- Platform Changes: The platform may change terms, pricing, features, functionality, APIs, or discontinue services at any time without notice
- Account Issues: Your account may be suspended, terminated, or restricted due to platform policy violations, payment issues, security concerns, or technical problems
- Data Loss: Data may be lost, corrupted, or inaccessible due to platform outages, technical failures, policy violations, or account termination
- Compliance Obligations: You are responsible for ensuring your use of the platform complies with PIPEDA, CPPA, Law 25, CASL, and all applicable privacy and data protection laws
- Customer Data Responsibility: You are solely responsible as data controller for all customer personal information processed through the AI platform
BY AUTHORIZING CCBONLINE TO ACCESS YOUR THIRD-PARTY AI PLATFORM ACCOUNT, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND ACCEPTED THE PLATFORM'S TERMS OF SERVICE AND PRIVACY POLICY, AND YOU ASSUME ALL RISKS ASSOCIATED WITH PLATFORM USAGE.
🚨 DISCLAIMER OF LIABILITY FOR THIRD-PARTY AI PLATFORM ACCOUNTS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CCBONLINE SHALL NOT BE LIABLE FOR:
- Any issues, problems, errors, malfunctions, or failures with your third-party AI platform account
- Account suspension, termination, restrictions, or policy violations
- Data loss, corruption, unauthorized access, or security breaches at the platform
- Changes to platform terms, pricing, features, or discontinuation of services
- Billing disputes, subscription issues, or payment problems with the platform
- Compliance failures or violations of privacy laws related to your use of the platform
- Unauthorized use of your account by employees, contractors, or third parties
- Customer data breaches, privacy violations, or regulatory penalties resulting from platform use
- Any direct, indirect, incidental, consequential, or punitive damages arising from account-related issues
For all issues, disputes, or concerns related to your third-party AI platform account, you must contact the platform provider directly. CCBONLINE is not responsible for platform customer support, dispute resolution, or enforcement of platform terms.
Severability
If any provision of this Section 9B is found to be unenforceable or invalid under applicable law, such provision shall be reformed to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.
9C. AIDA Compliance and AI Accountability (2025)
In compliance with Canada's Artificial Intelligence and Data Act (AIDA), enacted as part of Bill C-27 in 2025, CCBONLINE acknowledges specific responsibilities and user rights regarding the deployment and management of AI systems.
AI System Transparency
CCBONLINE uses AI technologies in the following ways:
- AI-Powered Chatbots: Automated customer service and support through AI chatbot platforms (integrated via third-party services)
- AI-Assisted Development: AI coding assistants, code generation tools, and automated testing systems to accelerate website development
- Content Optimization: AI tools for content generation, SEO optimization, translation, and content improvement
- Analytics and Insights: AI-powered data analysis, user behavior prediction, and business intelligence
- Security Monitoring: AI-based threat detection, fraud prevention, and security monitoring systems

When you interact with our AI systems, they are clearly labeled as "AI Assistant," "Powered by AI," or similar identifiers. You will always know when you're interacting with an AI system versus a human representative.
AI System Risk Classification
Under AIDA, AI systems are classified by their potential impact. CCBONLINE's current AI systems:
- General-Purpose AI (Low to Medium Impact): All AI systems currently deployed by CCBONLINE are classified as general-purpose AI with low to medium impact. These include customer service chatbots, development tools, content optimization, and analytics.
- No High-Impact AI Systems: CCBONLINE does not currently deploy high-impact AI systems as defined by AIDA (systems that pose significant risk to health, safety, human rights, or access to essential services).
- Risk Assessments: We conduct quarterly risk assessments of all AI systems to monitor for potential upgrade to higher impact classification and ensure appropriate safeguards are in place.
AI Accountability Measures
CCBONLINE has implemented the following AI governance measures in compliance with AIDA:

10. Payment and Refund Policy
Payment Terms
- Payment Schedule: Projects typically follow a 50%-25%-25% payment structure:
- 50% deposit upon project kickoff
- 25% milestone payment after design approval
- 25% final payment upon project completion
- Payment Methods: We accept Bank Transfer, Credit/Debit Cards, Interac e-Transfer, and PayPal
- Currency: Primary currency is CAD. We also accept USD and CNY at Bank of Canada rates + 2% spread
- Payment Deadline: Net 15 days from invoice date for milestone and final payments
- Late Payment: 1.5% per month (19.56% per annum) interest charged on overdue balances after 5-day grace period, compliant with the Interest Act (Canada)
Refund Policy
For Business Clients (B2B)
- Deposits: Non-refundable once work begins
- During Development: Pro-rated refunds available for cancellations based on work completed
- After Milestones: Completed milestones are non-refundable
For Individual Consumers (B2C)
- Cooling-Off Period: 10-day cooling-off period as per Ontario Consumer Protection Act, 2002
- Within 10 Days: Full refund available within 10 days of contract signing (before work begins)

11. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability. If you wish to terminate your account, you may do so by contacting us at info@ccbonline.ca or support@ccbonline.ca.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Toronto, Ontario, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using our services.

15. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements you enter into with CCBONLINE, constitute the entire agreement between you and CCBONLINE Inc. regarding the use of our services, superseding any prior agreements between you and CCBONLINE. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
16. Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the invalid provision shall be severed from these Terms.
The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which shall remain in full force and effect. The parties agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision to the greatest extent possible.
Purpose: This severability clause ensures that if one part of these Terms is found to be unenforceable, the rest of the agreement remains valid and binding. This protects both you and CCBONLINE by preserving the enforceability of the remaining terms.
17. Force Majeure
CCBONLINE shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay is due to causes beyond its reasonable control ("Force Majeure Event").
Force Majeure Events Include
- Acts of God: Natural disasters, earthquakes, floods, storms, fires, or other catastrophic events
- Government Actions: Wars, terrorism, riots, civil unrest, embargoes, sanctions, or acts of civil or military authorities
- Public Health Emergencies: Pandemics, epidemics, or government-mandated lockdowns and restrictions
- Infrastructure Failures: Failures of telecommunications, internet infrastructure, power grids, or data centers
- Third-Party Service Disruptions: Failures, interruptions, or termination of services by third-party providers (including but not limited to Formspree, Google services, hosting providers, or payment processors)
- Cybersecurity Incidents: Cyberattacks, distributed denial-of-service (DDoS) attacks, hacking attempts, or malware infections affecting our systems or those of our service providers
- Labor Disputes: Strikes, lockouts, or other labor disturbances
Effect of Force Majeure
During a Force Majeure Event:
- CCBONLINE's performance obligations shall be suspended for the duration of the Force Majeure Event
- CCBONLINE shall not be liable for any damages, losses, or delays caused by the Force Majeure Event
- CCBONLINE will make reasonable efforts to resume normal operations as soon as practicable
- CCBONLINE will provide notice to affected users when reasonably possible
If a Force Majeure Event continues for more than thirty (30) consecutive days, either party may terminate the affected services upon written notice, without liability to the other party.
⚠️ Important: This Force Majeure clause is particularly relevant given our reliance on third-party services (Formspree, Google services). While we work with reputable providers, their service interruptions or failures are beyond our control and constitute Force Majeure Events under these Terms.
